The Code of Conduct defines the standards
that every employee of the Shinko Electric Group must strictly observe.
Respect for Human Rights
We respect the human rights of every individual and prohibit any form of unfair discrimination or human rights violations, including harassment based on race, color, religion, beliefs, gender, social status, lineage, disability, or sexual orientation. Furthermore, we must not encourage or permit such actions.
There may be people around us suffering from human rights violations. Beyond abstaining from such actions ourselves, sympathizing with or overlooking others' violations constitutes endorsing and encouraging those acts. Even without the intention to discriminate, one's words or actions can hurt others. To ensure we do not discriminate and do not overlook discrimination by others, it is necessary to correctly understand human rights issues and cultivate a spirit of respect and sensitivity toward human rights.
As employees of the Shinko Electric Group, it is vital to act with a firm stance that we do not tolerate human rights violations. Through the respect for human rights by each individual, the Shinko Electric Group will be recognized by society as a company that values human rights.
Compliance with Laws and Regulations
We must constantly reflect on whether our actions are correct in the light of the law. Even if an action is driven by loyalty to the company, violations of the law can never be tolerated. Sometimes, actions believed to be right may actually be illegal. It is important to carefully verify in advance whether our actions during business execution comply with the law. "Law" here does not only refer to statutes in a narrow sense; it includes treaties, enforcement decrees, ordinances, and customs—all rules recognized as socially fair must be respected and followed.
Furthermore, we must pay attention to social norms, common sense, and business ethics, checking if our individual activities align with them. As a global enterprise, the Shinko Electric Group must understand and respect not only domestic laws but also the laws and customs of various countries worldwide. Business practices vary by country, and domestic common sense may not always lead to correct action abroad. Therefore, when conducting international business, we must act based on a deep understanding of each country's history, customs, and national character, as well as its laws.
Fair Trade Practices
We must respond fairly to customers, business partners, and competitors under all circumstances.
For example, we must not treat customers discriminatorily without reasonable justification. We must always interact with business partners with a humble attitude. Furthermore, we must maintain fair competition with competitors without using unfair means. We must always keep in mind that negotiating or discussing restrictions on prices, production/sales volumes, clients, or sales territories with competitors undermines fair competition and carries a high risk of violating laws and regulations.
Protection and Respect for Intellectual Property
The Shinko Electric Group strives for the creation of new value and contributes to an enriched society by providing products globally that meet customer expectations. Intellectual property, the result of these creative activities, holds immense value as it is created through significant investment and effort. We must remember that intellectual property is a crucial management asset that supports our business activities and enables us to be a trusted partner. Specifically, it is important to properly acquire and secure rights such as patents, copyrights, and trademarks, utilizing them in our business to improve corporate earnings. We must deeply understand that the knowledge and know-how held by each individual serve as a powerful weapon for securing a competitive advantage. Simultaneously, we must respect the intellectual property of other companies and use it only after obtaining it through legitimate procedures.
Confidentiality
The proper handling of information is the foundation and lifeline of the Shinko Electric Group's corporate activities. Information can leak due to simple negligence, and once leaked, the damage is not only substantial but can also lead to a loss of the company's credibility. Therefore, it is important to correctly understand the handling rules for various types of information and maintain a thorough sense of information security to prevent the accidental disclosure of confidential or personal information.
[Handling Internal Information]
In our daily work, we have opportunities to access various internal information. Such information is basically a corporate secret and must not be disclosed to the public without proper procedures, nor used for purposes other than business execution.
[Handling Third-Party Information]
We may receive confidential information from business partners or customers based on contracts. Such third-party confidential information is subject to various conditions regarding its purpose of use, management methods, and duration for each contract. We must handle this information appropriately to avoid violating any non-disclosure obligations.
[Handling Personal Information]
We may collect and utilize personal information in the course of our business. When handling personal information, we must manage and use it appropriately in accordance with the laws and regulations of each country.
Prohibition of Private Use of Position or Role
We must not use our positions or company information for the benefit of ourselves or related parties, nor should we neglect our duties. Additionally, company assets such as software and equipment owned by the Shinko Electric Group must not be used or disposed of (loaned, gifted, etc.) for purposes other than business execution. Furthermore, we prohibit any trading of stocks or securities using non-public information obtained from the Shinko Electric Group or other companies during our tenure at the Shinko Electric Group.
